1. Commercial Engagement
These terms govern the relationship between Strict Mode Ltd and its corporate clients. All engagements are formalised via a custom Statement of Work (SOW). We operate exclusively B2B. Minimum viable engagement begins at £10,000 GBP unless otherwise contractually stipulated.
2. Intellectual Property (IP)
Unless explicitly transferred in the SOW, Strict Mode Ltd retains total ownership of all proprietary code, systems, internal software, and architectural frameworks utilised or deployed during the engagement. The client receives a non-exclusive licence to utilise the deliverables strictly for their internal business operations.
3. Warranties & Liability
We engineer systems to the highest technical standard. However, software infrastructure carries inherent risk. Strict Mode Ltd's total liability under any engagement shall not exceed the total fees paid by the client under the specific SOW from which the claim arises. We disclaim liability for indirect, consequential, or data-loss damages.
4. Governing Law
These terms and all commercial engagements are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
